These Terms & Conditions (“Terms”), together with our Privacy Policy, Shipping Policy, and Return, Refund & Exchange Policy (collectively, the “Policies”), govern your access to and use of the Website and any purchase made through it. By accessing, browsing, registering on, or placing an order through the Website, you (“you”, “your”, or “User”) agree to be bound by these Terms. If you do not agree, please do not use the Website.
2. Eligibility
By using the Website, you represent and confirm that:
• You are at least 18 years of age, or are accessing the Website under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
• You are legally competent to enter into a binding contract under the Indian Contract Act, 1872.
• All information provided by you, including for registration, orders, and payment, is true, accurate, current, and complete.
• You will use the Website only for lawful purposes and in accordance with these Terms.
3. Account Registration & Security
• You may be required to create an account to place an order or access certain features. You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately at support@makaiglobal.in of any unauthorized use of your account.
• MAKAi Global shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
4. Products
• We make reasonable efforts to accurately display product images, colors, sizes, and descriptions on the Website.
• Actual product colors and finish may vary slightly due to screen/display settings, lighting conditions during photography, or manufacturing batch variations inherent to fabric and dyeing processes.
• Minor variations in color, texture, print placement, or embellishment (within reasonable industry tolerance) shall not be considered defects and shall not, by themselves, qualify for return or refund.
• Product availability is subject to change without notice. We reserve the right to discontinue or modify any product at any time.
5. Pricing & Payment
• All prices displayed on the Website are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless otherwise stated.
• Shipping, packaging, or other charges, if any, will be clearly disclosed at checkout prior to payment.
• In the event of a pricing error due to technical glitch, typographical error, or incorrect information from a supplier, MAKAi Global reserves the right to cancel the affected order, even after confirmation, and shall refund any amount already paid.
• Payments may be made through the payment methods made available at checkout (cards, UPI, net banking, wallets, or other modes), processed via third-party, RBI- compliant payment gateways. MAKAi Global does not store your card or payment credentials.
• All payments must be made in full at the time of placing the order, unless a Cash on Delivery (COD) option is expressly offered and selected.
6. Orders
• Placing an order constitutes an offer to purchase. An order confirmation email/SMS acknowledges receipt of your order but does not constitute acceptance or guarantee fulfilment.
• A contract of sale is formed only when MAKAi Global dispatches the ordered product(s), confirmed via a separate shipping notification.
MAKAi Global reserves the right to refuse, cancel, or limit any order, in whole or in part, at its sole discretion, including (without limitation) due to:
• Unavailability of the product or stock-out after order placement;
• Payment failure, payment not realized, or suspected payment fraud;
• Errors in product or pricing information;
• Suspected fraudulent, abusive, or unauthorized activity;
• Failure of address or identity verification;
• Inability to deliver to the address provided, including serviceability limitations of our courier partners.
In case of cancellation after payment, applicable refunds will be processed in accordance with our Return, Refund & Exchange Policy (see Part 2).
7. Shipping & Delivery
• Shipping timelines, charges, and serviceable locations are governed by our Shipping Policy in Part 2 of this document.
• Delivery timelines provided are estimates only and may be affected by courier delays, force majeure events, incorrect address details, or remote/restricted delivery locations.
• Risk in the products shall pass to you upon delivery to the address provided at the time of order.
8. Returns, Refunds & Exchanges
• Returns, exchanges, and refunds are governed by our Return, Refund & Exchange Policy in Part 2 of this document, which forms part of these Terms.
• Products must be returned in their original condition, with tags, packaging, and invoice intact, within the timeline specified in that policy.
• Customized, altered, innerwear, and sale/clearance items may be non-returnable, as specified in the Return, Refund & Exchange Policy.
9. User Conduct & Prohibited Use
You agree that you shall not:
• Use the Website for any unlawful purpose or in violation of any applicable Indian law, including the Information Technology Act, 2000;
• Upload or transmit any content that is defamatory, obscene, infringing, or harmful;
• Attempt to gain unauthorized access to the Website, its servers, or any connected network;
• Use any automated means (bots, scrapers) to access or extract data from the Website without prior written consent;
• Engage in any activity that interferes with or disrupts the Website's functioning or security.
10. Intellectual Property
All content on the Website, including logos, trademarks, brand names, product designs, images, videos, graphics, text, and software, is the exclusive property of MAKAi Global or its licensors and is protected under applicable Indian intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.
• No content from the Website may be copied, reproduced, republished, distributed, or used for commercial purposes without the prior written consent of MAKAi Global.
• Unauthorized use of any content may result in civil and/or criminal action under applicable law.
11. Limitation of Liability
• The Website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, to the extent permitted by applicable law.
• MAKAi Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Website or products purchased, except where such liability cannot be excluded under applicable Indian law.
• Notwithstanding anything contained herein, MAKAi Global's aggregate liability for any claim arising out of or relating to an order shall not exceed the purchase value of the product(s) giving rise to such claim.
• Nothing in these Terms shall limit liability for fraud, gross negligence, or any liability that cannot be excluded under the Consumer Protection Act, 2019.
12. Indemnity
You agree to indemnify and hold harmless MAKAi Global, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of your breach of these Terms, misuse of the Website, or violation of any applicable law or third-party rights.
13. Privacy
Your use of the Website is also governed by our Privacy Policy in Part 3 of this document, which explains how we collect, use, store, and protect your personal information in compliance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, where applicable. By using the Website, you consent to the data practices described therein.
14. Force Majeure
MAKAi Global shall not be held responsible for any delay or failure in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, strikes, government restrictions, courier/logistics disruptions, or other events of force majeure.
15. Third-Party Links & Services
The Website may contain links to third-party websites or services (including payment gateways and social media platforms) that are not owned or controlled by MAKAi Global. We are not responsible for the content, policies, or practices of any third-party sites.
16. Governing Law & Jurisdiction
• These Terms shall be governed by and construed in accordance with the laws of India.
• Subject to Clause 17 (Dispute Resolution), the courts at Noida/Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
17. Dispute Resolution
In the event of any dispute arising out of these Terms, the parties shall first attempt to resolve it amicably through written notice and discussion. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed mutually, seated in Noida, Uttar Pradesh, with proceedings conducted in English.
18. Amendments to These Terms
MAKAi Global reserves the right to modify, amend, or update these Terms at any time without prior notice. The revised Terms will be effective upon posting on the Website, with the “Last Updated” date revised accordingly. Continued use of the Website after such changes constitutes your acceptance of the updated Terms.
